By accessing or using ContractKit ("the Service"), operated by ContractKit ("we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.

ContractKit is an AI-powered contract platform that provides the following capabilities:

• Contract analysis: AI-driven review of uploaded contracts to identify risks, obligations, key dates, and notable clauses.
• Contract generation: AI-assisted creation of contracts from 44+ templates, including NDAs, service agreements, employment contracts, and more.
• Electronic signatures: Collect legally binding electronic signatures from counterparties via secure signing links.
• Compliance calendar: Track contract deadlines, renewal dates, and compliance obligations.
• Contract storage: Securely store and organize your contracts in one place.

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

You must be at least 18 years old to create an account and use the Service.

ContractKit offers the following subscription tiers:

• Free plan: Limited access with 1 contract analysis and 3 contract generations per month.
• Business plan ($99/month): 25 contract analyses and unlimited contract generations per month, plus access to the Compliance Calendar and priority support.
• Enterprise plan: Custom pricing with unlimited access, dedicated support, and additional features.

Payments are processed securely through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel. Subscription fees are non-refundable except as required by applicable law.

We reserve the right to change our pricing at any time. Price changes will take effect at the start of your next billing cycle, and we will provide advance notice of any changes.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Upload content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Attempt to gain unauthorized access to the Service, other accounts, or related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Use automated means (bots, scrapers, etc.) to access the Service without our prior written consent.
• Reverse engineer, decompile, or disassemble any aspect of the Service.
• Resell, sublicense, or redistribute the Service or any output generated by the Service.

The Service, including its design, features, code, and documentation, is owned by ContractKit and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You retain ownership of all contracts and documents you upload to or create using the Service. By uploading content, you grant us a limited license to process and store that content solely for the purpose of providing the Service to you.

The Service uses artificial intelligence to analyze and generate contract content. While we strive for accuracy, AI-generated outputs may contain errors, omissions, or inaccuracies.

ContractKit does not provide legal advice. The AI analysis and generated contracts are provided for informational purposes only and do not constitute legal counsel. You should always consult with a qualified attorney before relying on any contract or legal document, whether AI-generated or otherwise.

You acknowledge and agree that you are solely responsible for reviewing, verifying, and approving any contract or analysis produced by the Service before using it for any legal or business purpose.

ContractKit provides electronic signature functionality that allows you to collect signatures from counterparties. By using this feature, you acknowledge and agree that:

• Electronic signatures collected through the Service are intended to comply with applicable electronic signature laws, including the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA).
• You are responsible for ensuring that the use of electronic signatures is appropriate and legally valid for your specific use case and jurisdiction.
• ContractKit records signature metadata (signer name, email, IP address, and timestamp) as part of the audit trail.
• We do not guarantee the legal enforceability of any electronically signed document in every jurisdiction.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information and contract data. By using the Service, you consent to the practices described in the Privacy Policy.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONTRACTKIT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service.
• Any errors, inaccuracies, or omissions in AI-generated content or analysis.
• Any unauthorized access to or use of our servers or your personal information.
• Any reliance on contracts, analyses, or other outputs produced by the Service without independent legal review.

Our total liability for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless ContractKit and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us or through your account settings.

Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and ContractKit regarding the use of the Service and supersede all prior agreements, representations, and understandings.
